General Terms

1. Acceptance of Terms

By accessing retol.digital or engaging Retol for trade marketing program support services, you agree to these General Terms. If you act on behalf of an organization, you represent that you have authority to bind that organization.

2. Services Description

Retol provides trade-aligned loyalty and repeat purchase campaign support, retail CRM touchpoint coordination, promo redemption support, and related operational services in the Republic of Korea. Specific deliverables are defined in individual statements of work or package descriptions.

3. Client Responsibilities

Clients must provide timely data feeds, retailer contacts, brand guidelines, and internal approvals. Delays caused by missing inputs may shift timelines without penalty to Retol. Clients remain responsible for retailer contracts and consumer-facing legal claims on promotional materials.

4. Intellectual Property

Unless otherwise agreed in writing, Retol retains ownership of pre-existing methodologies, templates, and tools. Upon full payment, clients receive a non-exclusive license to use project-specific deliverables for internal business purposes. Third-party fonts, stock imagery, and software remain subject to their respective licenses.

5. Confidentiality

Each party will protect the other's confidential business information with reasonable care and use it only to perform obligations under the engagement. Confidentiality survives termination for three years, except information that becomes public through no fault of the receiving party.

6. Limitation of Liability

To the maximum extent permitted under Korean law, Retol's aggregate liability arising from any engagement shall not exceed the fees paid for that engagement in the twelve months preceding the claim. Retol is not liable for indirect, consequential, or lost-profit damages, or for retailer actions outside Retol's control.

7. Governing Law and Disputes

These terms are governed by the laws of the Republic of Korea. Parties shall attempt good-faith negotiation before litigation. Exclusive jurisdiction lies with the courts of Daegu, Korea, unless mandatory consumer protection rules provide otherwise.

8. Termination and Modifications

Either party may terminate an engagement per the statement of work. Retol may update these General Terms by posting a revised version with a new last-updated date. Continued use of the website after changes constitutes acceptance of updated terms for site use.
